Tinjauan Yuridis Perjanjian Jual Beli Berdasarkan Surat Pemesanan Barang ( Purchase Order ) Antara PT. Union Confectionery Dengan PT. Industri Pembungkus

Abstract

Seiiring perkembangan teknologi dalam pelaksanaan jual beli atas barang/jasa dilakukan dengan mempergunakan Purchase Order (PO). Pennasalahan penelitian ini adalah apakah Purchase Order (PO) dapat dikategorikan sebagai perjanjian jual beli, bagaimana mekanisme pelaksanaan perjanjian jual beli antara PT. Union Confectionery dengan PT. Industri Pembungkus Internasional (PT. IPI) dan bagaimana hak dan kewajiban parapihak dalam perjanjian jual beli antara PT. Union Confectionery dengan PT. IPI. Jenis penelitian dalam penulisan skripsi ini adalah yuridis normatif yang bersifat deskriptif analisis. Metode pendekatan dalam penelitian ini adalah pendekatan perundang-undangan. Purchase Order (PO) dapat dikategorikan sebagai perjanjian jual beli karena Purchase order memiliki unsur-unsur yang sama dengan perjanjian jual beli sebagaimana berdasarkan asas konsensualisme dalam KUH Perdata. Mekanisme pelaksanaan perjanjian jual beli antara PT. Union Confectionery dengan PT. IPI adalah penyediaan kardus dan pembungkus dengan menggunakan system Purchase Order (PO). PT. Union Confectionerysetiap melakukan pemesanan dengan PT. IPI dengan menerbitkan Purchase Order (PO) yang mencanturnkan spesifikasi, design, detail dan jumlah barang. Metode pembayaran adalah 45 ( empat puluh lima) hari setelah menerima barang. Hak dan Kewajiban Para Pihak dalam Perjanjian Kerjasama antara PT. Union Confectionery dengan PT. IPI adalah PT. Union Confectionery berhak menerima pesanan kardus dari PT. IPI sesuai spesifikasi yang telah ditentukan oleh PT. Union Confectionery pada Purchase Order (PO), berhak meminta retur atas kardus yang tidak sesuai spesifikasi dan berkewajiban membayar pesanan. Hak dan Kewajiban PT. IPI adalah berhak menerima pembayaran sesuai dengan yang disepakati tepat waktu, berkewajiban membuat kardus sesuai dengan spesifikasi yang telah ditentukan oleh PT. Union Confectionery dan berkewajiban mengganti setiap kardus yang tidak sesuai. The problem of this research is whether the Purchase Order (PO) can be categorized as a sale and purchase agreement, how is the mechanism for implementing the sale and purchase agreement between PT. Union Confectionery with PT. Industri Pembungkus Internasional (PT. !PI) and how the rights and obligations of the parties in the sale and purchase agreement between PT. Union Confectionery with PT. IP I. The type of research in writing this thesis is normative juridical which is descriptive analysis. The approach method in this research is the statutory approach. Purchase Order (PO) can be categorized as a sale and purchase agreement because the Purchase order has the same elements as a sale and purchase agreement as based on the principle of consensualism in the Civil Code. The mechanism for implementing the sale and purchase agreement between PT. Union Corifectionery with PT. !PI is the provision of cardboard and wrapping using the Purchase Order (PO) system. PT. Union Confectionery every time you place an order with PT. IPI by issuing a Purchase Order (PO) which includes specifications, designs, details and quantities of goods. The payment method is 45 (forty five) days after receiving the goods. Rights and Obligations of the Parties in the Cooperation Agreement between PT. Union Confectionery with PT. !PI is PT. Union Corifectionery is entitled to receive cardboard orders from PT. IP I according to the specifications that have been determined by PT. Union Confectionery on a Purchase Order (PO), has the right to request a return of a cardboard that does not meet specifications and is obliged to pay for the order. Rights and Obligations of PT. IP I is entitled to receive payments in itccordance with the agreed on time, obliged to make cardboard according to the specifications that have been determined by PT Union Confectionery and is obliged to replace any non-coriforming boxes.
